Inspector Terms & Conditions

These Terms govern your participation as an independent inspector on the Inspecteam platform. Please read them carefully before submitting your application. By applying and activating your account, you agree to be bound by these Terms and any individual Inspector Agreement entered into between you and Inspecteam.

1. Nature of the Platform

Inspecteam is a technology platform and marketplace that connects vehicle buyers with independent, self-employed vehicle inspectors. Inspecteam does not itself perform vehicle inspections, does not employ inspectors, and is not a vehicle inspection company. All inspections are performed exclusively by independent contractors who have agreed to these Terms.

Inspecteam makes no representation or warranty to any party that any inspection performed through the platform will be free from error, complete, or suitable for any particular purpose. Inspectors are solely and exclusively responsible for the professional quality, accuracy, and completeness of their work product.

2. Independent Contractor Relationship

You ("Inspector") are an independent contractor, not an employee, agent, representative, partner, or joint venturer of Inspecteam Inc. ("Inspecteam," "we," "us," or "our"). The following factors, among others, confirm the independent contractor nature of this relationship:

Inspecteam does not provide workers' compensation, employment insurance, pension contributions, vacation pay, sick leave, statutory holiday pay, or any other employment benefits. You are solely responsible for all applicable income tax, HST/GST, CPP contributions, and any other government remittances arising from payments received through the platform. You acknowledge that Inspecteam will not withhold or remit any taxes on your behalf.

Nothing in these Terms creates an exclusive relationship. You may perform vehicle inspections for third parties outside of Inspecteam, provided you do not solicit or divert Inspecteam customers (see Section 11).

If any court or regulatory authority determines that you are an employee of Inspecteam, you agree that any compensation owed will be offset by the amounts already paid to you under these Terms and your Inspector Agreement.

3. Eligibility and Account Activation

To apply as an inspector you must:

Account activation is at Inspecteam's sole discretion. Approved status may be revoked at any time if eligibility criteria are no longer met. Inspecteam has no obligation to approve any application.

4. Inspector Levels and Eligible Plans

You may only accept jobs for plans at or below your approved level. Accepting a job for which you lack the required qualifications is a material breach of these Terms and may expose you to professional and legal liability.

5. Inspection Standards and Quality

5.1 Accuracy and Completeness

You must complete every inspection you accept with professional care, accuracy, and thoroughness. All checklist items must be completed honestly and based on actual observation. You must not mark items as passed without genuine inspection and must not misrepresent the condition of any vehicle.

5.2 Photo Documentation

Inspection photos must be clear, in-focus, and accurately represent the vehicle's condition. Damage photos must include a close-up view and an inspector note describing the issue. Fabricating, staging, or manipulating photos is grounds for immediate termination and may expose you to civil and criminal liability.

5.3 OBD Diagnostics (Level 2+)

You must perform a live OBD-II scan and accurately record all fault codes. Do not clear codes before scanning. Report all codes present at the time of inspection.

5.4 Timeliness

You must respond to job offers within the time shown in the notification. You must complete accepted inspections within the agreed or reasonable timeframe. Repeated non-responses or cancellations may result in reduced dispatch priority or account suspension.

5.5 Professional Conduct

You must treat customers, dealers, and vehicle owners with professionalism and respect. You must not share any customer's personal information with anyone outside the scope of completing the inspection.

6. Compensation

6.1 Inspector Payout Rates

Your compensation for each completed inspection is set out in your individual Inspector Agreement. Inspecteam may update compensation rates from time to time with reasonable notice, as provided in Section 16. No specific dollar amounts or commission percentages are guaranteed by these Terms alone.

6.2 Payout Schedule

Payouts are processed on a regular schedule as set out in your Inspector Agreement, by Interac e-Transfer to the email address registered in your profile. Inspecteam is not responsible for delays caused by your financial institution, e-Transfer service interruptions, or circumstances beyond our reasonable control.

6.3 Dispute Window

If you believe a payout is incorrect, you must notify us at support@inspecteam.ca within 14 days of the payout date. Disputes raised after 14 days may not be honoured. Inspecteam's determination of payout amounts is final, subject only to demonstrable arithmetic error.

6.4 Withholding and Reversal

Inspecteam may withhold, reduce, or reverse a payout if: (a) the inspection is disputed by the customer due to demonstrated inspector error or misconduct; (b) the inspection report contains materially false or misleading information; (c) a chargeback is initiated by the customer attributable to a verified inspector error; (d) the Inspector is in breach of these Terms; or (e) required by applicable law or a government authority. We will make reasonable efforts to notify you in writing before withholding any amount, except where prohibited by law.

6.5 No Guarantee of Work

Inspecteam does not guarantee a minimum number of job offers, inspections, or income. Job offers depend on customer demand, geographic proximity, inspector level, rating, and other platform factors entirely within Inspecteam's discretion.

7. Availability and Job Acceptance

You control your availability through the inspector app. Only set yourself as available when you can genuinely respond to and complete jobs. Accepting a job and then cancelling without legitimate reason (e.g., vehicle inaccessible, safety concern, medical emergency) will be recorded and may affect your dispatch priority and rating.

8. Ratings and Reviews

Customers may leave a star rating (1–5) and written review after an inspection is complete. Your average rating is displayed on your public profile. You may respond to any review once. Responses must be professional and factual — threats, personal attacks, or defamatory content will be removed and may result in account suspension.

Inspecteam does not remove negative reviews unless they violate our content standards or are demonstrably fraudulent. Sustained poor ratings may result in reduced dispatch priority or account review, at Inspecteam's sole discretion.

9. Profile and Data

Your name, city, inspector level, rating, bio, and profile photo (if uploaded) may be displayed publicly on the Inspecteam platform. By uploading a profile photo you grant Inspecteam a non-exclusive, royalty-free, worldwide licence to display it on the platform and in related marketing materials while your account is active.

Your contact details, credentials, and payout email are kept private and used only to administer your account and process payments, consistent with our Privacy Policy.

10. Confidentiality

You must keep strictly confidential all non-public information you learn about customers, their vehicles, their purchase negotiations, or Inspecteam's business operations through the platform. This obligation survives termination of these Terms indefinitely. You must not contact customers outside the platform for any commercial purpose.

11. Non-Solicitation

During the term of these Terms and for 24 months after termination for any reason, you must not directly or indirectly solicit, accept, or facilitate payment from any customer you first encountered through the Inspecteam platform for vehicle inspection services of the same or similar type, except through the Inspecteam platform. This restriction applies regardless of which party initiated the contact.

You acknowledge that a breach of this section would cause irreparable harm to Inspecteam for which monetary damages would be an inadequate remedy, and that Inspecteam is entitled to seek injunctive relief in addition to any other remedy available at law or equity.

12. Intellectual Property

All inspection reports, photos, checklists, diagnostic data, and other work product submitted through the platform are assigned to and become the property of Inspecteam upon submission, for the purpose of delivering the inspection service and operating the platform. You retain ownership of your underlying inspection methodology and tools. You waive any moral rights in work product submitted to the platform to the extent permitted by law.

13. Liability, Indemnification, and Disclaimer

13.1 Inspector Responsibility

You are solely and exclusively professionally responsible for the accuracy, completeness, and quality of inspections you perform. Inspecteam is a technology platform only and accepts no responsibility for the content of any inspection report. If a customer or any third party suffers a financial loss or damage directly attributable to a false, misleading, or negligent inspection report you submitted, you may be held personally liable for such loss.

13.2 Platform Disclaimer

THE INSPECTEAM PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR UNINTERRUPTED SERVICE. INSPECTEAM DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE OR THAT DISPATCH NOTIFICATIONS WILL BE DELIVERED WITHOUT DELAY OR INTERRUPTION.

13.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INSPECTEAM'S TOTAL AGGREGATE LIABILITY TO YOU ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, YOUR INSPECTOR AGREEMENT, OR YOUR USE OF THE PLATFORM, REGARDLESS OF THE FORM OF ACTION, SHALL NOT EXCEED THE LESSER OF: (A) THE TOTAL FEES ACTUALLY PAID TO YOU IN THE THREE CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE THOUSAND CANADIAN DOLLARS ($1,000.00 CAD).

IN NO EVENT SHALL INSPECTEAM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF INCOME, LOSS OF DATA, LOSS OF GOODWILL, OR COST OF SUBSTITUTE SERVICES, EVEN IF INSPECTEAM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.4 Indemnification

You agree to defend, indemnify, and hold harmless Inspecteam Inc., its directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees on a solicitor-client basis) arising out of or related to:

Inspecteam reserves the right to assume exclusive control of the defence of any matter subject to indemnification by you, at your expense. You agree to cooperate fully with Inspecteam in such defence.

14. Insurance

As a condition of maintaining an active inspector account, you must carry and maintain at your own expense:

You must provide evidence of current insurance coverage upon request. Failure to maintain required insurance is grounds for immediate account suspension. Inspecteam provides no professional liability or indemnity coverage for inspectors and accepts no responsibility for uninsured losses arising from an inspector's professional activities.

15. Termination

Either party may terminate this agreement at any time by providing written notice to support@inspecteam.ca. Termination by you takes effect upon Inspecteam's acknowledgment.

Inspecteam may suspend or terminate your account immediately and without notice or liability for: (a) any material breach of these Terms or your Inspector Agreement; (b) fraudulent, dishonest, or criminal conduct; (c) sustained poor quality, repeated customer complaints, or rating below acceptable thresholds; (d) misrepresentation of credentials or qualifications; (e) failure to maintain required insurance; (f) conduct that brings Inspecteam into disrepute; or (g) any reason at Inspecteam's sole discretion where Inspecteam determines that continued participation is not in the platform's best interests.

Upon termination, outstanding compensation for completed and accepted inspections will be processed on the next regular payout date, subject to any withholding permitted under Section 6.4. Sections 2, 10, 11, 12, 13, 17, 18, 19, and 20 survive termination.

16. Changes to These Terms

Inspecteam may update these Terms and any Inspector Agreement from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the platform after the effective date constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must terminate your account before the effective date by notifying us in writing.

17. Dispute Resolution and Arbitration

Important: This section requires that most disputes be resolved through binding arbitration rather than court litigation. Please read it carefully.

17.1 Informal Resolution First

Before initiating any formal dispute resolution, you must provide Inspecteam with written notice of your dispute at support@inspecteam.ca describing the nature of the dispute and the relief sought. The parties shall attempt in good faith to resolve the dispute informally within 30 days of such notice.

17.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms, your Inspector Agreement, or your use of the platform, including disputes about the validity or enforceability of this arbitration clause, shall be resolved by binding arbitration administered in the Province of Ontario under the Arbitration Act, 1991 (Ontario) or its successor legislation. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

17.3 Class Action Waiver

YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST INSPECTEAM. All disputes must be brought individually. You may not consolidate your claim with the claims of any other inspector or third party without Inspecteam's express written consent. If this waiver is found unenforceable, the arbitration clause as a whole shall be void.

17.4 Exceptions

Notwithstanding the above, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration, including enforcement of the non-solicitation obligations in Section 11.

18. Governing Law

These Terms are governed exclusively by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Subject to the arbitration obligations in Section 17, you irrevocably consent to the exclusive jurisdiction of the courts of Ontario for any matter not subject to arbitration.

19. Force Majeure

Inspecteam shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from causes beyond Inspecteam's reasonable control, including but not limited to: acts of God, pandemic, government order, cyberattack, platform outage, telecommunications failure, or disruption to third-party payment or messaging services.

20. General Provisions

20.1 Entire Agreement

These Terms, together with your individual Inspector Agreement and Inspecteam's Privacy Policy, constitute the entire agreement between you and Inspecteam with respect to your participation on the platform and supersede all prior understandings, representations, or agreements, whether written or oral.

20.2 Severability

If any provision of these Terms is found by a court or arbitrator to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

20.3 No Waiver

Inspecteam's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Inspecteam to be effective.

20.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without Inspecteam's prior written consent. Inspecteam may assign these Terms to any affiliate or successor in connection with a merger, acquisition, or sale of assets without your consent.

20.5 Notices

Notices to Inspecteam must be sent to support@inspecteam.ca. Notices to you will be sent to the email address registered in your inspector account. Notices are deemed received on the next business day after sending.
